Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. They contain important provisions that govern your use of the Services, including limitations of our liability and, where applicable, a binding dispute-resolution provision.

1. Acceptance of the Terms

These Terms of Service (the “Terms”) are a binding agreement between you and [Rentel, Inc.] (“Rentel,” “we,” “us,” or “our”) and govern your access to and use of the website located at userentel.com (the “Site”), our applications, and our related products and services (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you may not use the Services.

2. Eligibility and Authority

You must be at least 18 years old and capable of forming a binding contract to use the Services. The Services are intended for business use by real estate investors, landlords, and their authorized representatives. If you use the Services on behalf of a company or other entity, you represent that you are authorized to bind that entity to these Terms, in which case “you” refers to that entity.

3. Accounts and Registration

To access certain features, you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account. We are not liable for any loss arising from your failure to safeguard your credentials.

4. The Services

Rentel provides an AI-powered asset intelligence platform that helps independent residential real estate investors gain visibility into their properties, including transparency into property manager activity and benchmarking of repair and maintenance costs. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes. We may add, modify, or discontinue features of the Services at any time.

5. Beta and Early Access Services

Portions of the Services may be offered on a beta, preview, or early-access basis (“Beta Services”). Beta Services are provided to allow evaluation and feedback and may be incomplete, may contain errors, and may change or be discontinued at any time without notice. Beta Services are provided “AS IS” and “AS AVAILABLE” without any warranty or service commitment, and we may impose additional limits on their use. You use Beta Services at your own risk.

6. Your Content and Data

  • Ownership. You retain all rights in the data, documents, records, and other materials you submit to the Services (“Customer Data”). We do not claim ownership of your Customer Data.
  • License to operate the Services. You grant Rentel a worldwide, non-exclusive license to host, store, process, reproduce, and use Customer Data as necessary to provide, secure, and improve the Services and to generate the insights and benchmarks described in these Terms, consistent with our Privacy Policy.
  • Your responsibilities. You represent and warrant that you have all rights necessary to submit your Customer Data and to grant the license above, and that doing so does not violate any law or the rights of any third party. This includes records and communications relating to your property managers, vendors, and tenants.
  • Aggregated and de-identified data. You agree that we may create and use aggregated and de-identified data derived from Customer Data, including to produce benchmarks and to operate and improve the Services, as described in our Privacy Policy. Such data does not identify you and is not Customer Data.

7. AI Features, Insights, and Benchmarks

The Services use artificial intelligence and statistical methods to analyze Customer Data and generate insights, including repair-cost benchmarks and property manager transparency reporting. These outputs are estimates and informational tools that may be incomplete or inaccurate and that depend on the data available to us and the data you provide. You are responsible for independently evaluating outputs before relying on them and for any decisions you make based on them. We do not warrant the accuracy, completeness, or fitness for any particular purpose of any insight, benchmark, or other output.

8. No Professional or Fiduciary Relationship

Rentel is a software provider. We are not a real estate broker, property manager, appraiser, accountant, attorney, or financial, investment, or tax advisor, and the Services do not constitute professional, legal, financial, investment, or real estate advice. Use of the Services does not create any agency, fiduciary, or professional-client relationship between you and Rentel. You should consult appropriately qualified professionals before making decisions about your properties or investments.

9. Acceptable Use

You agree not to, and not to permit others to:

  • Use the Services in violation of any applicable law or regulation, or to infringe the rights of others.
  • Upload or transmit any content you do not have the right to share, or any unlawful, harmful, or misleading content.
  • Attempt to gain unauthorized access to the Services, other accounts, or our systems, or interfere with or disrupt the integrity or performance of the Services.
  • Reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent permitted by law.
  • Use the Services to build a competing product, or copy, resell, or sublicense the Services without our written consent.
  • Use any automated means to access the Services in a manner that imposes an unreasonable load, or circumvent any usage limits or security measures.

10. Third-Party Services and Integrations

The Services may interoperate with or contain links to third-party websites, products, and services that we do not control. Your use of any third-party service is governed by that third party's terms and privacy practices, and we are not responsible for it. If you connect a third-party account to the Services, you authorize us to access and process information from that account as needed to provide the Services.

11. Fees, Subscriptions, and Payment

Certain features of the Services may require payment of fees. When you subscribe to a paid plan, you agree to the pricing and billing terms presented at the time of purchase. Unless stated otherwise: fees are billed in advance and are non-refundable except as required by law; subscriptions automatically renew for successive periods unless cancelled before the renewal date; and you are responsible for applicable taxes. We may change our fees on prospective notice, and any change will take effect at the start of your next billing period. Payment is processed by a third-party payment processor, and you authorize us and the processor to charge your selected payment method.

12. Intellectual Property

The Services, including all software, models, designs, text, graphics, logos, and other materials we provide (excluding Customer Data), and all intellectual property rights in them, are owned by Rentel or our licensors. Except for the limited rights expressly granted to you in these Terms, we reserve all rights, title, and interest in and to the Services. The Rentel name, logo, and brand features are our property and may not be used without our prior written consent.

13. Feedback

If you provide suggestions, ideas, or other feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without any obligation or compensation to you.

14. Term and Termination

These Terms remain in effect while you use the Services. You may stop using the Services and close your account at any time. We may suspend or terminate your access to the Services, in whole or in part, at any time if you violate these Terms, if we reasonably believe your use poses a risk to us or others, or for any other reason on reasonable notice. Upon termination, your right to use the Services ceases. We may delete your Customer Data following termination, subject to our Privacy Policy and applicable law; you are responsible for exporting any data you wish to retain. Provisions that by their nature should survive termination will survive.

15. Disclaimers

THE SERVICES, INCLUDING ALL INSIGHTS, BENCHMARKS, AND OTHER OUTPUTS, ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY OUTPUT WILL BE ACCURATE OR RELIABLE. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE SERVICES.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENTEL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF [ONE HUNDRED U.S. DOLLARS ($100)] OR THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

17. Indemnification

You agree to indemnify, defend, and hold harmless Rentel and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your Customer Data, your use of the Services, or your violation of these Terms or of any law or third-party right.

18. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Before filing a claim, the parties agree to first attempt to resolve any dispute informally by contacting us. Any dispute not resolved informally will be subject to binding arbitration / the exclusive jurisdiction of the state and federal courts located in Williamson County, Texas. To the extent permitted by law, you and Rentel agree that claims may be brought only in an individual capacity and not as part of any class or representative proceeding.

19. Changes to the Services and to These Terms

We may modify these Terms from time to time. When we do, we will update the “Last Updated” date above and, where appropriate, provide additional notice. Changes are effective when posted unless otherwise stated. Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms. We may also modify, suspend, or discontinue the Services, in whole or in part, at any time.

20. General Provisions

  • Entire agreement. These Terms, together with the Privacy Policy and any order or plan terms, constitute the entire agreement between you and Rentel regarding the Services and supersede any prior agreements.
  • Severability. If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for any delay or failure to perform due to causes beyond our reasonable control.
  • Relationship of the parties. You and Rentel are independent contractors. These Terms do not create any partnership, joint venture, or agency relationship.
  • Notices. We may provide notices to you through the Services or to the email associated with your account.
